These Terms of Service ("Terms") govern your use of Orion and its related services, operated by Zinley ("Zinley," "we," "us," or "our"). Please read these Terms carefully before using our services.
By using Orion, you agree to be bound by these Terms. If you do not agree, you may not use our services.
Orion is an interconnected personal representative built by the Zinley team. It handles your calls, files, research, and everyday tasks autonomously. It works across desktop, mobile, command line, and your favorite messaging apps -- with persistent memory that learns how you work and gets better over time.
These Terms apply to all individual Orion plans (including Free, Plus, Pro, Max, and any future individual tiers). If you are using Orion Enterprise or any team-based plan, the Commercial Terms of Service apply instead.

By using Orion, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. This constitutes a legally binding agreement between you and Zinley.
If you are using Orion on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement will be treated as the agreement of the organization.
You must be at least 18 years old (or the minimum legal age in your jurisdiction, whichever is higher) to use Orion. By creating an account, you represent that you meet this age requirement.
Orion is an interconnected personal agent that performs tasks autonomously on your behalf. The service includes the following capabilities:
AI-generated outputs may not always be accurate, complete, or up to date. You are responsible for independently verifying any information before relying on it, especially for important decisions. Orion's AI features are tools to assist you -- not a replacement for your own judgment.
We strive to maintain reliable service, but cannot guarantee uninterrupted availability. Service may be temporarily unavailable due to maintenance, updates, or unforeseen issues. We will minimize interruptions and provide advance notice when possible.
We reserve the right to modify, suspend, or discontinue any aspect of Orion at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the service without notice or liability.
To use Orion, you must create an account with accurate, current information. You are responsible for the following:
You may terminate your account at any time through your Settings dashboard. We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. Accounts inactive for more than one year may be deleted after prior notice.
You agree to use Orion lawfully and in accordance with these Terms. The following activities are prohibited:
Orion can make phone calls on your behalf. You are fully responsible for all calls placed through your account. The following uses of Orion's calling feature are strictly prohibited:
Violations of these phone call restrictions may result in immediate suspension of calling privileges and account termination. Zinley reserves the right to report illegal call activity to the appropriate authorities.
You may use Orion for commercial purposes subject to your subscription plan limitations. However, you may not resell, redistribute, or create derivative services based on Orion without our written permission.
Orion operates on your devices and connects through your messaging platforms. This requires the following responsibilities on your part:
Orion can access and modify real files on your device. You control which folders Orion can access through directory guardrails -- everything else is off-limits. Orion can make real changes to permitted files. You are responsible for granting appropriate permissions and ensuring all actions comply with applicable laws.
When Orion makes calls on your behalf, you are responsible for ensuring those calls comply with applicable telecommunications laws and regulations in your jurisdiction. Orion will identify itself as an interconnected personal representative when required by law.

We log errors, performance metrics, and operational data to keep Orion running and improve the system. Your conversation history is retained so Orion can maintain context across sessions -- but it is never used for model training and is not viewable by any Zinley team member. When you delete a conversation, it is permanently and immediately deleted. File contents and call audio are not stored on our servers. See our Privacy Policy for full details.
We implement security measures including TLS encryption for all data in transit, AES-256 encryption for data at rest, secure key management, and regular security assessments to protect your information. See our Security page for full details.

You must respect the intellectual property rights of third parties. Do not upload, share, or process content that infringes on others' copyrights, trademarks, or other intellectual property rights.
Orion offers both free and paid subscription plans. The following terms govern billing and payments:

Orion is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
To the maximum extent permitted by law, Zinley shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.
Zinley's total liability for any claims arising from or related to Orion shall not exceed the greater of: (a) the amount you paid us in the six months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify and hold harmless Zinley and its affiliates from any claims, damages, or expenses arising from:
These Terms remain in effect until terminated by either party. The following provisions apply:
Upon termination, your right to use Orion ceases immediately. Your data is permanently deleted -- not moved to a backup or archive. Sections that logically should survive (disclaimers, liability limits, indemnification, dispute resolution) will continue in effect.
Orion's services are subject to U.S. export control and sanctions laws. By using Orion, you represent that:
We encourage informal resolution of disputes before initiating formal proceedings.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved exclusively in the federal or state courts located in San Francisco, California. You consent to the personal jurisdiction of these courts.
You agree that any disputes will be resolved individually, not as part of a class action or collective proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or acceptable use restrictions.
We may update these Terms from time to time to reflect changes in our services, applicable laws, or business practices.
Your continued use of Orion after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and may terminate your account.
We recommend reviewing these Terms periodically to stay informed of any updates.
The following additional provisions apply to these Terms:
These Terms, together with our Privacy Policy, Acceptable Use Policy, and any additional terms for specific features, constitute the entire agreement between you and Zinley regarding the Orion service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without notice.
We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
If you are a U.S. government user, Orion is provided as "commercial computer software" and "commercial computer software documentation" with only those rights as are granted to all other users under these Terms.
