Terms of Service

These Terms of Service ("Terms") govern your use of Orion and its related services, operated by Zinley ("Zinley," "we," "us," or "our"). Please read these Terms carefully before using our services.

By using Orion, you agree to be bound by these Terms. If you do not agree, you may not use our services.

Orion is an interconnected personal representative built by the Zinley team. It handles your calls, files, research, and everyday tasks autonomously. It works across desktop, mobile, command line, and your favorite messaging apps -- with persistent memory that learns how you work and gets better over time.

These Terms apply to all individual Orion plans (including Free, Plus, Pro, Max, and any future individual tiers). If you are using Orion Enterprise or any team-based plan, the Commercial Terms of Service apply instead.

Agreement to Terms

By using Orion, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. This constitutes a legally binding agreement between you and Zinley.

If you are using Orion on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement will be treated as the agreement of the organization.

You must be at least 18 years old (or the minimum legal age in your jurisdiction, whichever is higher) to use Orion. By creating an account, you represent that you meet this age requirement.

Service Description

Orion is an interconnected personal agent that performs tasks autonomously on your behalf. The service includes the following capabilities:

Core Features

  • Autonomous task completion -- Orion completes tasks from start to finish, verifies its own work, and delivers results when done
  • Phone calls on your behalf -- books appointments, makes reservations, and handles calls with third parties
  • Local file access -- opens, edits, and organizes files directly on your device
  • Persistent memory -- learns your preferences and maintains context across sessions
  • Multi-platform access -- desktop (macOS, Windows, Linux), mobile (iOS, Android), CLI, and messaging apps (Telegram, Discord, WhatsApp, Slack, iMessage)
  • Third-party integrations -- connects with Google Suite, Slack, Discord, LinkedIn, BigQuery, Jira, and more
  • Always-on capability -- can run on servers to complete tasks while you are away

AI Output Accuracy

AI-generated outputs may not always be accurate, complete, or up to date. You are responsible for independently verifying any information before relying on it, especially for important decisions. Orion's AI features are tools to assist you -- not a replacement for your own judgment.

Service Availability

We strive to maintain reliable service, but cannot guarantee uninterrupted availability. Service may be temporarily unavailable due to maintenance, updates, or unforeseen issues. We will minimize interruptions and provide advance notice when possible.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of Orion at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the service without notice or liability.

Account Responsibilities

To use Orion, you must create an account with accurate, current information. You are responsible for the following:

Account Security

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately at support@meetorion.app of any unauthorized use
  • Using strong passwords and enabling available security features
  • Not sharing your credentials with anyone else

Account Information

  • Providing accurate and truthful information during registration
  • Keeping your account information current and updated
  • Not sharing your account with others
  • Not creating multiple accounts for fraudulent purposes

Account Termination

You may terminate your account at any time through your Settings dashboard. We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. Accounts inactive for more than one year may be deleted after prior notice.

Acceptable Use

You agree to use Orion lawfully and in accordance with these Terms. The following activities are prohibited:

Prohibited Activities

  • Violate any applicable laws, regulations, or third-party rights
  • Use Orion for illegal, harmful, or malicious activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the operation of Orion or its servers
  • Upload or transmit malware, viruses, or other harmful code
  • Engage in spamming, phishing, or other deceptive practices
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated tools to access Orion without permission
  • Use Orion to build competing products or train AI models
  • Scrape, harvest, or extract data from Orion beyond permitted use

Phone Call Restrictions

Orion can make phone calls on your behalf. You are fully responsible for all calls placed through your account. The following uses of Orion's calling feature are strictly prohibited:

  • Do not use Orion to make harassing, threatening, intimidating, or abusive calls to any person
  • Do not use Orion to conduct scam calls, fraud schemes, or any form of financial deception
  • Do not use Orion to impersonate real individuals, government officials, law enforcement, or other authorities
  • Do not use Orion to make robocalls, telemarketing calls, or unsolicited bulk calls
  • Do not use Orion to collect personal information from call recipients through deception or false pretenses
  • Do not use Orion to make calls that violate any applicable telecommunications laws, including do-not-call regulations
  • Do not use Orion to place calls for the purpose of extortion, blackmail, or coercion
  • Do not use Orion to record calls without the consent of all parties where required by law

Violations of these phone call restrictions may result in immediate suspension of calling privileges and account termination. Zinley reserves the right to report illegal call activity to the appropriate authorities.

AI-Specific Restrictions

  • Do not use Orion's AI to generate content that promotes violence, hate, or harm
  • Do not attempt to circumvent AI safety measures or jailbreak the system
  • Do not use AI features for deceptive impersonation or generating misinformation
  • Do not use AI outputs for automated decision-making in high-risk areas (legal, medical, financial) without human review
  • Do not use Orion to create weapons, malware, or exploit vulnerabilities
  • Do not use Orion to generate content that sexualizes minors or facilitates exploitation of any person

Content Standards

  • Do not upload or share content that is illegal, offensive, or harmful
  • Do not infringe on intellectual property rights of others
  • Do not share personal information of others without consent
  • Do not use Orion to harass, threaten, stalk, or harm others through any channel (messages, calls, or generated content)

Commercial Use

You may use Orion for commercial purposes subject to your subscription plan limitations. However, you may not resell, redistribute, or create derivative services based on Orion without our written permission.

Your Devices and Platforms

Orion operates on your devices and connects through your messaging platforms. This requires the following responsibilities on your part:

Device and Platform Access

  • You are responsible for the devices and accounts you connect to Orion
  • Only use Orion on devices and platforms that you own or have authorization to use
  • Keep your connected device and platform list current
  • Ensure devices meet minimum security and compatibility requirements

Device Security

  • Maintain appropriate security measures on all connected devices
  • Keep device operating systems and Orion software updated
  • Use device-level security features like encryption and access controls
  • Report any suspected security breaches immediately

File Access and Permissions

Orion can access and modify real files on your device. You control which folders Orion can access through directory guardrails -- everything else is off-limits. Orion can make real changes to permitted files. You are responsible for granting appropriate permissions and ensuring all actions comply with applicable laws.

Phone Calls

When Orion makes calls on your behalf, you are responsible for ensuring those calls comply with applicable telecommunications laws and regulations in your jurisdiction. Orion will identify itself as an interconnected personal representative when required by law.

Privacy and Data Protection

Our full Privacy Policy is incorporated into these Terms by reference. The following summarizes key data practices:

Data Processing

  • We process your data to provide Orion's services
  • File access happens locally on your device; AI processing goes through our secure servers
  • We do not build AI models. We use third-party models (OpenAI, Anthropic, Google) to power Orion
  • Your data is never used to train any AI model -- not ours, not anyone else's
  • You control your data and can export or delete it at any time

What We Log and Store

We log errors, performance metrics, and operational data to keep Orion running and improve the system. Your conversation history is retained so Orion can maintain context across sessions -- but it is never used for model training and is not viewable by any Zinley team member. When you delete a conversation, it is permanently and immediately deleted. File contents and call audio are not stored on our servers. See our Privacy Policy for full details.

Data Security

We implement security measures including TLS encryption for all data in transit, AES-256 encryption for data at rest, secure key management, and regular security assessments to protect your information. See our Security page for full details.

Intellectual Property

This section outlines the ownership rights of each party regarding content and technology.

Zinley's Rights

  • Orion's software, algorithms, and technology are proprietary to Zinley
  • Our trademarks, logos, and branding materials (including Orion and Zinley marks) are protected
  • We retain all rights not expressly granted to you in these Terms
  • You may not use our intellectual property without written permission

Your Rights

  • You retain all rights to the content and data you submit to Orion ("Inputs")
  • To the extent permitted by law, we assign to you any rights in the outputs Orion generates for you ("Outputs")
  • You grant us a limited license to process your data solely to provide our services
  • You may export your data at any time

Third-Party Rights

You must respect the intellectual property rights of third parties. Do not upload, share, or process content that infringes on others' copyrights, trademarks, or other intellectual property rights.

Plans and Billing

Orion offers both free and paid subscription plans. The following terms govern billing and payments:

Subscription Plans

  • Free -- basic features with usage limitations, no credit card required
  • Plus -- expanded features and higher usage limits
  • Pro -- full-featured access for power users
  • Max -- all features included, highest usage limits
  • Enterprise -- custom features, dedicated support, and team controls

We may introduce additional plans or tiers in the future. New plans will be subject to these Terms unless otherwise specified.

Billing and Payment

  • Subscription fees are billed in advance on a recurring basis
  • Subscriptions auto-renew unless you cancel at least 24 hours before the renewal date
  • Payment is due immediately upon subscription or renewal
  • We use Stripe for secure payment processing
  • You authorize us to charge your payment method for applicable fees
  • We will provide at least 30 days' notice before any price increases take effect

Refunds and Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods, except where required by law
  • Residents of Brazil, Mexico, South Korea, and Taiwan may cancel within 7 days for a full refund
  • Downgrading may result in loss of premium features

Disclaimers

Orion is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

Service Disclaimers

  • We do not guarantee uninterrupted or error-free service
  • AI responses may not always be accurate or appropriate -- always verify important information independently
  • We are not responsible for device compatibility issues
  • Third-party integrations may have their own limitations
  • We do not warrant that Orion will meet your specific requirements

Limitation of Liability

To the maximum extent permitted by law, Zinley shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.

Zinley's total liability for any claims arising from or related to Orion shall not exceed the greater of: (a) the amount you paid us in the six months preceding the claim, or (b) one hundred dollars ($100).

Indemnification

You agree to indemnify and hold harmless Zinley and its affiliates from any claims, damages, or expenses arising from:

  • Your use of our services or violation of these Terms
  • Products or services you develop using Orion's outputs
  • Your violation of any applicable law or third-party rights
  • Any feedback you provide to us

Termination

These Terms remain in effect until terminated by either party. The following provisions apply:

Termination by You

  • You may terminate your account at any time through Settings
  • Termination cancels your subscription and initiates data deletion
  • Some provisions of these Terms survive termination
  • You remain responsible for charges incurred before termination

Termination by Us

  • We may terminate your account immediately for violations of these Terms
  • We may suspend service for suspected abuse or security issues
  • We will provide notice when possible, except in cases of serious violations
  • Termination for breach means no refund; other terminations receive a pro-rata refund

Effect of Termination

Upon termination, your right to use Orion ceases immediately. Your data is permanently deleted -- not moved to a backup or archive. Sections that logically should survive (disclaimers, liability limits, indemnification, dispute resolution) will continue in effect.

Export Controls

Orion's services are subject to U.S. export control and sanctions laws. By using Orion, you represent that:

  • You are not located in, or a resident of, any U.S.-embargoed country
  • You are not on any U.S. government restricted party list
  • You will not use Orion in violation of any applicable export control or sanctions laws
  • You will not re-export or transfer Orion's technology to prohibited destinations or parties

Dispute Resolution

We encourage informal resolution of disputes before initiating formal proceedings.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms shall be resolved exclusively in the federal or state courts located in San Francisco, California. You consent to the personal jurisdiction of these courts.

Dispute Process

  • Contact us first at legal@meetorion.app to resolve disputes informally
  • We will work in good faith to address your concerns within 30 days
  • Mediation may be used for unresolved disputes
  • Some disputes may be subject to binding arbitration

Class Action Waiver

You agree that any disputes will be resolved individually, not as part of a class action or collective proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Injunctive Relief

Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or acceptable use restrictions.

When These Terms Change

We may update these Terms from time to time to reflect changes in our services, applicable laws, or business practices.

Notification Process

  • We will update the "Last updated" date when Terms change
  • Material changes will be communicated via email at least 30 days in advance
  • Significant changes will be prominently displayed in our app
  • You will have the opportunity to review changes before they take effect

Acceptance of Changes

Your continued use of Orion after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and may terminate your account.

We recommend reviewing these Terms periodically to stay informed of any updates.

General Provisions

The following additional provisions apply to these Terms:

Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and any additional terms for specific features, constitute the entire agreement between you and Zinley regarding the Orion service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without notice.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

Government Use

If you are a U.S. government user, Orion is provided as "commercial computer software" and "commercial computer software documentation" with only those rights as are granted to all other users under these Terms.
